The proposed issue will comprise 2,49,98,000 bonus shares.

Utssav CZ Gold Jewels, a leading manufacturer, wholesaler and exporter of lightweight cubic zirconia (CZ) and gold casting jewellery, has approved a proposal to issue bonus shares in a 1:1 ratio, subject to shareholders’ approval and other necessary clearances.

The company’s board of directors approved the proposed issuance of one bonus share of face value ₹10 for every existing share held by eligible shareholders.

The record date for determining eligibility for the bonus shares will be announced after the requisite approvals are obtained.

The proposed issue will comprise 2,49,98,000 bonus shares. If approved, it will increase the company’s paid-up equity share capital from ₹25 crore to ₹50 crore, with the number of shares rising from 2,49,98,000 to 4,99,96,000.

The bonus shares will be issued from the company’s securities premium reserve, free reserves and retained earnings available as of March 31, 2026.

The shares are expected to be credited in 60 days of the board’s approval, subject to approval by shareholders and other applicable statutory and regulatory clearances.

The board also approved a proposal to increase the company’s authorised share capital from ₹25 crore to ₹60 crore, divided into six crore shares of ₹10 each.

The increase, intended to facilitate the proposed expansion of the paid-up share capital, is subject to shareholders’ approval and a consequent alteration to the capital clause of the Memorandum of Association.

Utssav CZ Gold Jewels will announce the record date and other relevant details in due course, following the requisite approvals.

Shares of the company were down marginally by 0.52 per cent at ₹1,014 on Friday.
