SEC seeks feedback on amendments to securities laws, derivatives laws, and trust laws. The proposed changes focus on digital market promotion, supervision of operators, securities market oversight, and corporate finance regulations.

• The SEC is seeking public feedback on draft amendments to laws aimed at promoting a digital capital market and improving capital market regulation.
• The proposed amendments cover areas such as digital capital market promotion, supervision of securities and derivatives business operators, and enhancement of law enforcement and penalties.
• Stakeholders and interested parties are encouraged to submit their feedback on the draft amendments through the SEC website or email before the public hearing ends on 27 December 2024.

The Securities and Exchange Commission (SEC) is conducting a public hearing on draft amendments to four laws aimed at promoting a digital capital market and improving capital market regulation efficiency. The proposed amendments cover six key areas, including digital market promotion, supervision of securities and derivatives business operators, supervision of securities market and related institutions, corporate finance regulations, audit firm and capital market professional supervision, law enforcement, and penalty enhancement, as well as other matters related to SEC administration. Stakeholders and interested parties are encouraged to submit feedback via the SEC website or email, with the public hearing ending on 27 December 2024. The SEC has also launched various initiatives related to digital asset regulation and financial literacy activities.

The proposed amendments are grouped into six key areas as follows: 

(1) Digital Capital Market Promotion: updating legal frameworks to fully support electronic processes in the capital market and introducing provisions for Digital Infrastructure Main Operator; 

(2) Supervision of Securities and Derivatives Business Operators: revising regulations for major shareholders of business operators and adding oversight provisions related to the personnel in securities and derivatives businesses;  (3) Supervision of Securities Market and Related Institutions: revising provisions related to the over-the-counter center in order to reduce barriers to establishment and operation, imposing regulatory measures to enhance the supervisory efficiency of the Stock Exchange of Thailand and introducing provisions regarding investment in securities by securities business related associations;

(4) Corporate finance Regulations and Audit firm and Capital Market Professional Supervision: revising regulations on debt instrument issuance and takeover activities and enhancing oversight of audit firms and capital market professionals;
