Thai SEC urges Property Perfect Public Company Limited (PF) bondholders to exercise their rights at the upcoming bondholders’ meeting on April 25, 2025

The SEC advises PF bondholders to review the provided information and participate in the meeting scheduled for April 25, 2025. Bangkok, 22 April 2025 – The Securities and Exchange Commission (SEC) urges the bondholders of three series of PF bonds to study all available information, exercise their rights at the upcoming bondholders’ meeting, and reach out to the bond issuer or the bondholders’ representatives to obtain comprehensive and sufficient details for making an informed voting decision. The bondholders’ meeting will be held on 25 April 2025.

Property Perfect Public Company Limited (PF), the issuer of PF254A, PF254B and PF255A bonds, will electronically convene the Bondholders’ Meeting No. 1/2025 on 25 April 2025 at 14.00 hours to consider the following matters:   

  (1) approving the use of the bondholder register closing date for interest payment purposes as the closing date for convening the Bondholders’ Meeting No. 1/2025, and waiving an event of default under the terms and conditions for closing the bondholder register more than 14 days prior to the date of the Bondholders’ Meeting;  

  (2) extending the bond maturity dates as follows: for PF254A and PF254B bonds, by additional 21 days; and for PF255A bond, by additional 9 days (all of these bond series are due on 19 May 2025).  

The SEC requires that the bondholders’ representatives analyze the benefits and shortcomings as well as the potential impacts on the bondholders both in cases of approval and decline of approval for the above matters with respective supporting reasons and the opinions of the bondholders’ representatives. The bondholders are, therefore, encouraged to thoroughly review the information and exercise their rights to protect their own interests. They should also make necessary inquiries to the bondholders’ representatives to obtain comprehensive information before making a voting decision at the bondholders’ e-meeting.
