SEC updates fee regulations for listed companies’ annual registration statement filings

SEC has amended regulations, repealing fee reduction for annual registration statement filing for listed companies. Existing fee reduction measures remain, with plans to review and enhance conditions. Amendments effective from 2025.


The Securities and Exchange Commission (SEC) has revised regulations to revoke the fee reduction for filing annual registration statements of listed companies, ensuring greater alignment with current conditions.

Pursuant to Notification of Office of the Securities Exchange Commission No. Sor Bor. 28/2547 Re: Determination of for Filing of Registration Statement, Registration and Other Applications dated 7 July 2024 issuing companies whose shares are listed on the Exchange of Thailand (SET) are eligible a 20-percent reduction of the annual registration statement filing fee. This reduction applies if the companies have never been subjected to any settlements of criminal offence or legal complaint filed by the SEC for failure prepare and submit financial statements or reports on financial position and operating results as required by law and also on the condition that the fees have been paid within the specified timeframe.

Over the years, the SEC has noted that most listed companies have successfully met the conditions for fee reductions. This demonstrates that the criteria, designed to encourage companies to prepare financial reports in compliance with legal standards and promote the timely payment of annual registration statement filing fees, have effectively achieved their objectives. Compliance with these requirements is regarded as a fundamental legal obligation for listed companies. Consequently, the SEC has revised the relevant regulations to eliminate the filing fee reduction for the annual registration statement, as outlined in the aforementioned Notification.

The SEC urges listed companies to prioritize key issues while utilizing fee reduction measures, such as deducting consultant/reviewer expenses from filing fees for registration statements, including those disclosing greenhouse gas emissions. It plans to refine these measures to ease company burdens and enhance cooperation. Amendments will apply to 2024 annual registration statements, payable from 2025 onward.

The amendments will take effect for the filing of the annual registration statement 2024, to be due for payment in 2025 onwards.
